PLEASE READ THESE TERMS CAREFULLY. These Terms and Conditions govern use of gfgbagmanufacturer.com and custom manufacturing, sourcing, storage, fulfillment, drop-shipping, and related services provided by GFG Bag Manufacturer, LLC (“GFG,” “we,” “us,” or “our”). They are intended primarily for business-to-business transactions. Specific quotations, purchase orders, specifications, approved samples, and other written order documents may add to or modify these Terms for a particular project.
1. About These Terms and Business Authority
By using the Site, requesting services, or placing an order with GFG, you agree to these Terms. If you act for a company or other organization, you represent that you have authority to bind that organization. If a written agreement signed by GFG expressly conflicts with these Terms, that signed agreement controls to the extent of the conflict.
2. Quotations, Order Acceptance, and Order Documents
A quotation is an invitation to place an order and is not binding until GFG accepts the order in writing. A quotation is valid for the period stated in that quotation. GFG may decline or revise a proposed order if specifications are infeasible, materials or partner-sourced products become unavailable, costs materially change before acceptance, or other legitimate production constraints arise.
The documents governing an accepted order may include the confirmed quotation, purchase order accepted by GFG, invoice, written order confirmation, approved artwork, specification sheets, approved physical or pre-production samples, shipping instructions, and written change confirmations (collectively, the “Order Documents”). For project-specific commercial terms, the Order Documents control over these general Terms. Later mutually accepted written changes control over earlier inconsistent Order Documents.
3. Minimum Order Quantities
Products may be subject to product-specific minimum order quantities (“MOQs”), including MOQs by color, size, material, decoration method, or production run. The applicable MOQ will be stated or confirmed in the quotation or Order Documents. GFG is not required to accept an order below the confirmed MOQ unless agreed in writing.
4. Samples and Pre-Production Samples
GFG may prepare samples so a prospective customer can evaluate design, construction, materials, decoration, fit, or other product characteristics. Unless the customer has entered into a binding production agreement before the sample is made, requesting or receiving a sample does not obligate the customer to place a production order.
Customers may elect a pre-production sample arrangement to accelerate the project schedule. Under that arrangement, the production contract is entered into before the pre-production sample is manufactured. The customer remains obligated under the accepted order, subject to the agreed sample-approval process and these Terms. This approach may reduce the overall project timeline, often by approximately two weeks, but actual timing depends on the project.
5. Specifications, Artwork, and Customer Approvals
The customer is responsible for carefully reviewing and approving specifications, artwork, logos, colors, dimensions, quantities, labeling, packaging, and other requirements before production. Written approval of a physical or pre-production sample establishes that sample as the production reference to the extent applicable. Digital displays, photographs, and electronic proofs may not reproduce physical colors, textures, scale, or materials exactly.
If the customer requests a change after approval, GFG will advise whether the change is feasible and may adjust price, production time, material requirements, tooling, or other terms. A requested change is effective only when accepted by GFG in writing.
6. Quality Management, Inspection, and AQL Standards
GFG maintains quality-management processes intended to support consistent production, process control, corrective action, documentation, and continual improvement. ISO 9001 provides the quality-management-system framework; acceptance sampling for product inspection is a separate statistical process. Any statement concerning GFG or a factory certification is limited to the certification actually held and in effect at the relevant time.
Unless a different inspection protocol is agreed in writing before production, GFG may inspect production lots using acceptance-sampling principles consistent with ISO 2859-1 and/or ANSI/ASQ Z1.4, as appropriate. These standards use statistically selected samples and acceptance/rejection criteria to evaluate a production lot; they do not require inspection of every unit.
For ordinary inspection, GFG may generally use General Inspection Level II under normal inspection and, unless otherwise agreed for the product, may use the following quality criteria:
- Critical defects: zero acceptance unless otherwise agreed in writing. A critical defect is one that creates an unreasonable safety risk, violates a mandatory safety requirement, or renders the product unsafe for its intended use.
- Major defects: AQL 2.5. A major defect materially affects function, usability, durability, appearance, or conformity with the approved specifications or sample.
- Minor defects: AQL 4.0. A minor defect is a comparatively small deviation in workmanship, appearance, stitching, printing, coloration, finishing, positioning, dimensions, or another characteristic that does not materially affect intended function or ordinary usability.
AQL is a statistical lot-acceptance methodology and does not mean that GFG is permitted to intentionally manufacture or deliver a stated percentage of defective products. A production lot is evaluated using the applicable lot size, sample size, defect classifications, and acceptance/rejection numbers. Accordingly, a limited number of minor nonconforming units or normal commercial variations within an otherwise conforming lot does not, by itself, establish that the entire order is defective or entitle the customer to reject, replace, or obtain a refund for the entire lot when the lot satisfies the applicable acceptance criteria.
If the customer requires a different AQL, inspection level, third-party inspection, laboratory testing, certification, or special quality protocol, those requirements must be disclosed to and accepted by GFG in writing before production. Additional requirements may result in additional charges or schedule changes. Passing an AQL inspection does not eliminate GFG’s Quality Guarantee for verified manufacturing or workmanship defects.
7. Commercial Manufacturing Variations and Tolerances
Custom manufacturing can involve commercially reasonable variations among units and production runs. Unless a specific tolerance is stated in the Order Documents, minor variations in color shade, material texture, dimensions, weight, stitching, print or embroidery position, hardware finish, packaging, or other characteristics that do not materially impair the product’s intended function may be considered normal manufacturing variation. GFG will use the approved specifications and physical sample, where applicable, as the principal production reference.
8. Payment Terms
Unless GFG agrees otherwise in writing, a 50% deposit is due when the order is placed and accepted. The remaining 50% balance, together with any other amounts then due, must be paid in full before the finished goods are released for shipment. Production and shipment schedules may be suspended or adjusted if required payments, approvals, artwork, or other customer-provided information are late.
Prices exclude taxes, duties, tariffs, freight, storage, fulfillment, and other third-party charges unless the applicable Order Documents expressly state that a particular charge is included.
9. Custom Orders and Cancellation
GFG products are commonly custom-manufactured to customer specifications and may have little or no resale value. Once production has commenced, an accepted custom production order may not be canceled by the customer, except where cancellation or a refund is required by applicable law or GFG agrees otherwise in writing. For purposes of this provision, production may include the commitment or cutting of custom materials, printing or decoration, tooling, component fabrication, assembly, or other irreversible or material production activity for the order.
Before production begins, any cancellation request must be made in writing. GFG may deduct or require payment for nonrecoverable costs already incurred or committed specifically for the project, to the extent permitted by applicable law and the Order Documents.
10. Production Schedules and Delivery Estimates
Production and delivery dates are good-faith estimates based on information available when the order is accepted and are dependent on timely customer approvals, artwork, payments, material availability, production capacity, customs, carriers, and other factors. GFG will communicate material schedule changes when reasonably practicable. Nothing in these Terms eliminates any non-waivable rights or obligations that apply to a particular transaction under applicable law.
11. Storage, Fulfillment, Drop Shipping, and Freight Charges
When agreed with the customer, GFG may provide storage, warehousing, fulfillment, and drop-shipping services. Products may be stored by GFG or designated production, warehouse, fulfillment, or logistics partners and released in quantities and at intervals requested by the customer. Storage, handling, pick-and-pack, fulfillment, drop-shipping, freight, postage, carrier, and related logistics services may be subject to additional fees stated in the quotation, Order Documents, fulfillment agreement, or other written agreement.
Unless GFG expressly agrees in writing to a fixed freight price, shipping and freight charges are determined for each shipment at or near the time that shipment is prepared or scheduled for dispatch, using the carrier rates, fuel surcharges, taxes, fees, routing costs, and other transportation charges then in effect. When an order is released in multiple shipments, the customer will be charged the applicable shipping and fulfillment costs for each released portion at the time of that shipment.
For example, if a customer orders 1,000,000 units for annual requirements and requests four releases of 250,000 units approximately every three months, freight for each 250,000-unit release may be calculated using the actual or then-current transportation costs applicable to that release rather than the freight rate that existed when the annual order was placed.
Freight rates may change because of circumstances outside GFG’s reasonable control, including carrier increases, fuel surcharges, port congestion, capacity shortages, customs or government action, tariffs or transportation assessments, changes in routing, labor disruptions, emergencies, natural disasters, or international logistics conditions. Therefore, freight quoted substantially in advance is an estimate unless expressly identified by GFG in writing as fixed.
If GFG collects estimated freight or shipping charges in advance and actual third-party transportation costs later increase unexpectedly for reasons outside GFG’s reasonable control, GFG may charge the customer the documented additional amount reasonably necessary to cover the increased freight, carrier, surcharge, customs-related transportation, or logistics cost. GFG is not required to absorb extraordinary or unforeseen third-party transportation increases that it did not cause. Where reasonably practicable, GFG will notify the customer of a material increase before releasing the affected shipment, and GFG may require payment of additional amounts due before release.
Products held for future release may be subject to storage or warehousing fees and related handling charges. Any included storage period, storage rate, fulfillment rate, minimum fee, or special handling requirement should be stated in the applicable Order Documents or separate fulfillment agreement.
12. Shipping, Customs, Duties, Risk of Loss, and Title
The shipping method, destination, delivery term, importer-of-record responsibility, customs clearance, duties, tariffs, taxes, insurance, risk of loss, and passage of title will be governed by the applicable Order Documents. GFG will not assume a particular Incoterm or customs responsibility unless it is stated in writing for the order. Customs holds, inspections, port conditions, and carrier delays outside GFG’s reasonable control may affect delivery.
13. Inspection, Claims, and Reporting Problems
Customers should inspect goods promptly after receipt and notify GFG as soon as reasonably practicable of any claimed shortage, transit damage, nonconformity, or manufacturing issue, providing the order number, description of the issue, quantities affected, and photographs or other reasonable evidence where available. For visible transit damage, customers should also document the condition with the carrier when practicable. Prompt notice helps preserve evidence and allows GFG to investigate and respond efficiently.
14. GFG Quality Guarantee
If GFG determines that products have a verified manufacturing or workmanship defect attributable to GFG and are not of the quality required by the approved specifications, sample, or applicable Order Documents, GFG will provide an appropriate remedy. After reviewing the nature, extent, and circumstances of the verified issue, GFG management will determine in good faith, and at GFG’s discretion, whether the appropriate remedy is repair of affected products, replacement of affected products, or an appropriate refund.
The guarantee does not apply to damage or nonconformity caused by customer misuse, abuse, intentional damage, improper storage or handling, unauthorized alteration or repair, use contrary to intended purpose, normal wear and tear, or circumstances occurring after delivery that are not attributable to GFG’s manufacturing or workmanship. The guarantee also does not convert commercially acceptable variations or a lot that satisfies the agreed AQL criteria into a defective entire order solely because isolated minor imperfections are present.
Nothing in this guarantee limits any right or remedy that cannot lawfully be limited or excluded. GFG may request reasonable access to samples, photographs, inspection reports, or affected products before determining the appropriate remedy.
15. Customer Artwork, Designs, Trademarks, and Intellectual Property
The customer retains ownership of logos, artwork, trademarks, designs, and other intellectual property supplied by the customer. The customer grants GFG and its production partners a limited right to use those materials only as reasonably necessary to quote, sample, manufacture, inspect, package, fulfill, and deliver the customer’s order and maintain appropriate business records.
The customer represents that it owns or has permission to use all materials it supplies and that GFG’s manufacture of products according to those materials will not infringe third-party rights. To the extent permitted by law, the customer is responsible for third-party claims arising from customer-supplied materials or instructions, except to the extent caused by GFG’s independent conduct.
GFG will not use a customer’s confidential custom design or branded product in public marketing without the customer’s permission, except where the material has independently become public or the parties agree otherwise in writing.
16. Confidentiality
GFG will treat nonpublic customer designs, specifications, pricing, and business information received for a project as confidential and will use or disclose that information only as reasonably necessary to perform the project, administer the business relationship, comply with law, or protect legal rights. GFG may share such information with employees, the Fujian factory, suppliers, subcontractors, inspectors, logistics providers, and other service providers who need it to perform the order. Separate nondisclosure or confidentiality agreements signed by the parties will also apply according to their terms.
17. Manufacturing Operations in Fujian, China
GFG conducts manufacturing operations through its factory in Fujian, China. To quote, sample, plan, manufacture, inspect, package, store, fulfill, and ship a customer’s products, GFG may provide authorized factory personnel and necessary production or logistics partners with project information reasonably required to perform those services, including product specifications, dimensions, materials, quantities, artwork, logos, design files, packaging or labeling instructions, and related project communications. Such information is to be used for purposes connected with producing and fulfilling the customer’s products and not for unrelated marketing.
The customer acknowledges that international manufacturing may involve cross-border communications, production scheduling, material sourcing, quality inspection, freight, customs, and logistics activities in the United States, China, and other locations involved in the supply chain.
18. Partner-Sourced Products and Subcontractors
Certain products or production steps may be sourced from or performed by qualified third-party manufacturers, suppliers, decorators, laboratories, warehouses, freight providers, or other subcontractors. GFG may coordinate these parties as part of fulfilling the order and remains the customer’s commercial point of contact unless the Order Documents state otherwise.
19. Force Majeure and Events Beyond Reasonable Control
Neither party is responsible for delay or failure to perform, other than payment obligations for amounts already due, to the extent caused by events beyond that party’s reasonable control. Examples include natural disasters, severe weather, fire, epidemic or pandemic, war, terrorism, civil disturbance, government action, export or import restrictions, port or customs disruption, labor disputes, material shortages, power or utility failures, carrier failures, or extraordinary transportation disruption. The affected party will use commercially reasonable efforts to reduce the effect of the event and communicate material impacts.
20. Website Information and Acceptable Use
The Site is a general catalog and information resource. Product descriptions, images, MOQs, lead times, and other Site content may change and do not create a binding offer. The applicable Order Documents control the specifications and commercial terms of an accepted order.
The Site and its text, images, photography, graphics, page designs, GFG name, and GFG logo are owned by GFG or used under license. Users may view Site content for legitimate evaluation and purchasing purposes but may not scrape, copy, resell, republish, or commercially reuse Site content without written permission. Users may not attempt unauthorized access, interfere with Site operation, submit knowingly false information, or use the Site unlawfully.
21. Third-Party Links and Services
The Site or GFG communications may contain links to third-party websites, carriers, payment services, platforms, or other services. GFG does not control independent third parties and is not responsible for their separate terms, privacy practices, availability, or content. A link does not by itself constitute endorsement.
22. Limitation of Liability
To the fullest extent permitted by applicable law, neither GFG nor the customer will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits or lost business opportunity, arising from the Site, an order, or services, except to the extent such limitation is prohibited by law or expressly superseded by a signed written agreement. This provision does not eliminate GFG’s obligations under the Quality Guarantee or any liability that cannot lawfully be limited or excluded.
Any additional overall liability cap, special consequential-damage allocation, or transaction-specific remedy limitation must be stated in the applicable signed Order Documents or other written agreement. Customers with unusual downstream exposure should disclose those requirements before GFG accepts the order.
23. Compliance With Applicable Law
The parties will comply with applicable laws relevant to their respective responsibilities. Nothing in these Terms is intended to waive a right or obligation that cannot legally be waived. Where a law governing a particular transaction requires a different cancellation, delay-notice, refund, warranty, or shipping rule, that law controls to the extent required.
24. Governing Law and Disputes
The parties should first attempt in good faith to resolve any dispute through direct business discussions. Unless a signed agreement for the applicable order states otherwise, these Terms and transactions with GFG are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, subject to any mandatory law that applies to a particular transaction. Any court proceeding shall be brought in a court of competent jurisdiction as permitted by applicable law. No arbitration requirement or jury-trial waiver is created by these Terms unless separately agreed in writing.
25. Changes to These Terms
GFG may update these Terms from time to time. Revised Terms apply prospectively from the effective date posted. An order accepted before an update remains governed by the Terms in effect when that order was accepted, together with its applicable Order Documents, unless the parties agree otherwise in writing.
26. Severability, No Waiver, and Entire Agreement for General Terms
If a provision of these Terms is held unenforceable, the remaining provisions remain in effect to the extent permitted by law. A failure to enforce a provision on one occasion is not a waiver of that provision on another occasion. These Terms, together with the applicable Order Documents and any signed agreement incorporated into them, constitute the agreement concerning the subjects they address and supersede inconsistent prior general discussions on those subjects.
